BETA USER LICENCE AGREEMENT


The purpose of this agreement is to affirm the terms and conditions under which AllSportsMarket, Inc., at its sole discretion will provide at no charge to you (Customer) pre-release access to the retail web site (with client and/or server functionality) (the Software) for the purpose of pre-release evaluation and beta testing by Customer only.
The specific conditions pertaining to this evaluation are as follows:
1. Grant of License
AllSportsMarket, Inc. grants to Customer, during the term of this Agreement as specified in Section 2 below, the nontransferable, nonexclusive right to use the Software for the sole purpose of beta testing except in a commercial setting in the area of “supply agreements”. This right is subject to the following additional specific agreements and covenants by Customer concerning the use of the Software:
 Customer agrees that the Software is to be used only by the Customer and that Customer shall not sell or transfer any copies of the Program to third parties;
 Customer agrees not to disassemble or reverse engineer the Software;
 Customer agrees to make every reasonable effort to prevent other from making or obtaining copies of any Software in the Customer’s possession;
 Customer acknowledges that the Software being tested may contain new functionality that is not present in a version of the Software that is already available to the general public. Customer agrees not to disclose details about such new functionality or discuss the new functionality with anyone that does not have a non-disclosure agreement with AllSportsMarket, Inc.
 Customer hereby acknowledges AllSportsMarket, Inc.’s copyright regardless of whether the copyright notice appears on the Software or whether it has been filed with a Government Copyright Office;
 Customer hereby acknowledges that the Software is protected by United States patents pending.
 Customer agrees and confirms that it understands that, if and when the Software (and any future release thereof) is made commercially available by AllSportsMarket, Inc., the features, performance and configuration of the Software may change.
2. Term and Termination
(a) Customer’s right to use the Software under this agreement will terminate on the earlier of (i) written notice of termination of this agreement by AllSportsMarket, Inc. or Customer or (ii) the date of general commercial availability of the Software. AllSportsMarket, Inc. shall have the right, at its sole discretion, to terminate this agreement with or without cause upon written notice to Customer.
(b) Nothing in this agreement shall be deemed to require AllSportsMarket, Inc. to make any version of the Software commercially available on any particular date nor does AllSportsMarket, Inc. represent or warrant to any such date. Nothing in this agreement shall be deemed to convey to Customer the rights to use a commercially released version of the Software or components thereof, if or when such are available. Use of such commercial product shall be subject to a separate agreement between AllSportsMarket, Inc. and Customer.
(c) Within ten (10) calendar days of written notice of termination of the right to use the Software hereunder, Customer shall certify in writing that the original and all copies made of the Software have been destroyed (if any have been made). In the event that Customer fails to do so, AllSportsMarket, Inc. shall have the right to invoice, terms due upon receipt of AllSportsMarket, Inc.’s invoice and Customer shall pay AllSportsMarket, Inc. the full market value of the product and any damages resulting.
3. Obligations of Customer
Customer agrees to test the Software sufficiently to evaluate the product. Any problems or defects in the Software encountered by Customer shall be transmitted to AllSportsMarket, Inc. either by e-mail, telephone, facsimile, or written communication. Customer agrees not to discuss flaws in the software with any party other than AllSportsMarket, Inc.
4. Specific Disclaimer of Warranty
CUSTOMER UNDERSTANDS THAT THE SOFTWARE IS EXPERIMENTAL AND THAT ALLSPORTSMARKET, INC. DOES NOT WARRANT THE PERFORMANCE AND FEATURES OF THE SOFTWARE IN ANY WAY. ALL WARRANTIES REGARDING INCLUDING, WITHOUT LIMITATION, WARRANTIES AS TO FITNESS AND MERCHANTABILITY ARE HEREBY DISCLAIMED BY ALLSPORTSMARKET, INC.
THE SOFTWARE IS ACCEPTED AS IS, AND OWING TO ITS EXPERIMENTAL NATURE, CUSTOMER IS ADVISED NOT TO RELY ON THE FEATURES OR PERFORMANCE OF THE SOFTWARE FOR ANY REASON. CUSTOMER AGREES TO USE THE SOFTWARE WITH ALL DUE CAUTION, AND TO TAKE EVERY PRECAUTION TO ENSURE THE INTEGRITY OF DATA, HARDWARE, AND SOFTWARE IN THE SOFTWARE’S OPERATING ENVIRONMENT. CUSTOMER FURTHER AGREES THAT ALLSPORTSMARKET, INC. SHALL NOT BE HELD LIABLE FOR ANY DAMAGES OF ANY KIND CAUSED BY THE SOFTWARE.
5. Support and Updates
(a) AllSportsMarket, Inc. shall have no obligation to support services to Customer relating to its pre-release evaluation of the Software. AllSportsMarket, Inc. may, however, make such services available to Customer at its sole discretion.
(b) Both before and after commercial release of any version of the Software, AllSportsMarket, Inc. may from time to time make available to Customer updates, enhancements and/or modifications to the Software and may, at its sole discretion, provide such updates to Customer, but is under no obligation to do so. The provision by AllSportsMarket, Inc. to Customer of such updates, enhancements and/or modifications to the Software shall be subject to all covenant and conditions of this agreement, including, but not limited to, the restrictions on Customer’s use of the Software and AllSportsMarket, Inc.’s disclaimer of warranties.

6. Limits
The beta client understands that the software is being tested and analyzed during this period. Software changes and corrections may result in temporary inaccurate account balances. AllSportsMarket, Inc. reserves all rights and has sole discretion in applying appropriate remedies in any situation that may arise. At the end of the beta period, the maximum amount that will be transferred to a client’s retail account is $10,000 WTD ($100 USD). This would represent a 100% increase over the original $10,000 WTD provided at the start of the test.

7. Governing Law
This agreement shall be governed by the laws of the United States, the Province of British Columbia Canada and the United Kingdom. AllSportsMarket, Inc. shall, however, have the right to seek relief in any court of competent jurisdiction in order to protect its proprietary rights in the Software.
AllSportsMarket, Inc.'s agreement to supply the Software to Customer is subject to AllSportsMarket, Inc.'s review and acceptance of the customer's application to participate in the Beta Testing Program. Customer agrees to be bound by the terms and conditions of this agreement.
